A clear plan before you sign
The price is one part of a business deal. The contracts and day-to-day duties matter too. Our Seattle-area team helps Kent owners form companies and review contracts. We also help with business sales. Tell us what you plan to buy or change. We’ll help you spot the work that belongs in the plan, with a clear scope for our role.
Legal services for Kent businesses
A first customer contract needs a different review than a business purchase. Choose the service that fits your next step. We can help you set ownership terms, review a deal or plan for a sale.

We know that restructuring, merging or selling your business can be an exciting and challenging process. We recognize the hard work you’ve put into building a great business, and we focus on creating a transition strategy that works best for you. Foundry works closely with your team to ensure your needs are met and your assets are protected, every step of the way.
Look beyond the sale price
A Kent business purchase calls for a look at the seller’s city license. Kent says its licenses do not transfer. Ask the city how your planned ownership change affects the license before you set a closing date. Put that task on the same list as the sale documents and customer contracts.
Space costs deserve a close look as well. Kent’s business and occupation tax, or B&O tax, has a square-footage component. It also has a gross-receipts component. That does not mean you add both amounts together. Ask your accountant how the rules apply to the space and your work.
A new use for an old space can raise permit questions. Tell Kent’s permit staff how you plan to use it and what you want to change. Then bring the draft contract and the city’s feedback to your call with us. You can review who handles the work and what happens if the opening date moves.
“Madhu is someone I consider to be a mentor and community leader. She is an outstanding model of an entrepreneur-attorney who finds unique ways to get to know her clients on a very personal level. I’ve witnessed first hand, as Foundry’s Of Counsel Patent Attorney, to see how well she serves her clients. She and her team are world class.”
JD Houvener
You may know the business well and still have questions about the sale papers. We help you work through those questions in plain English. Foundry offers flat fees for most services. The project proposal sets out the work and fees, so you can review both before you start.

Frequently Asked Questions
No. Kent says a city business license does not transfer to a new owner. Ask the city how the structure of your deal affects the application. The Kent licensing page explains where to start. Include the new license in your closing plan so each person knows which task is theirs.
No. Kent city tax returns are separate from Washington state returns. The city’s B&O rules also consider the size and use of some business spaces. Read Kent’s city tax guidance with your accountant. A business purchase or move is a useful time to check which filings apply.
Check the planned use and work with Kent’s permit staff. A change in use can raise different questions than a coat of paint. Start with the city’s commercial permit guidance. Bring the proposed terms to counsel too, including who pays for the work and when payments start.
Serving Kent through our Seattle-area team
This page is for Kent business owners who need help with contracts or a company change. Foundry serves the area through its Seattle-area practice. We do not list a Kent office.
If your deal includes more than one site, note each address before the first call. Kent calls for separate licenses for separate sites within its city limits. That makes the site list useful when you plan a purchase or expansion.
